IMPORTANT NOTICE: By downloading, installing, or using the software described herein (hereafter referred to as "the Software"), you agree to be bound by the conditions of this agreement. If you disagree with these terms, please do not download, install, or use the Software, and if you have already installed it, uninstall it.
This End User License Agreement ("the Agreement") constitutes a legal contract between you, the individual user, and Singular App Development, LLC (the rightful owner of all rights to the Software, whether exclusive or otherwise). Please read this document carefully before installing and using the Software. Your use of the Software indicates your acceptance of and agreement to abide by these terms.
SunUp VPN is proprietary software owned by Singular App Development, LLC.
License Grant
Free License: SunUp VPN grants you a revocable, non-exclusive, non-transferable, limited, and perpetual license to download, install, and use the Software for your personal, non-commercial purposes in strict accordance with this Agreement.
Paid License: Subject to the payment of applicable fees and continuous adherence to this Agreement's terms, SunUp VPN grants you a revocable, non-exclusive, non-transferable, limited, and perpetual license to download, install, and use the Software, strictly in accordance with this Agreement.
Unauthorized Use: You agree to take reasonable precautions to prevent the unauthorized disclosure or use of the Software’s content, using at least the same level of care as you would for your own confidential information, but no less than a reasonable degree of care.
Ownership Rights
The Software is the intellectual property of Singular App Development, LLC, protected by copyright laws, international agreements, and other applicable laws in the jurisdiction where the Software is used. The structure, organization, and code are valuable trade secrets and confidential information of Singular App Development, LLC. Any feedback or suggestions you provide regarding the Software may be retained and used by Singular App Development, LLC in future products or services without compensation or approval.
You are granted no rights or titles to the Software's intellectual property, except as explicitly stated in this Agreement. All rights, including copyrights, patents, trademarks, and other intellectual property rights, are reserved by Singular App Development, LLC.
Restrictions
Restrictive Use: The Services must not be used in a way that could harm, overload, impair our servers, or interfere with others' enjoyment of the Services. Unauthorized access to any part of the Services or information is strictly prohibited.
Compliance with Laws: The Software must be used in compliance with all applicable laws and intellectual property rights in the jurisdictions where it is used.
Limited Warranty
SunUp VPN does not guarantee that the Software will meet all your requirements or that its operation will be uninterrupted or error-free. This warranty only covers reproducible failures in the Software's standalone form and excludes failures due to modifications, misuse, or issues related to hardware or software.
AS IS Provision: Except as expressly provided in this section, SunUp VPN is licensed to you "AS IS," without any warranty of any kind, either expressed or implied, to the fullest extent permitted by applicable law.
Limitation of Liability
Neither Singular App Development, LLC nor any party involved in the creation, production, or delivery of the Services will be liable for any indirect, special, incidental, or consequential damages arising out of this Agreement or the inability to use the Services, regardless of any prior advice about such potential damages. The total liability is limited to thirty dollars ($30) for all claims.
Third-Party Programs
The Software may include third-party programs governed by their own terms, which may feature open-source or free software licenses. This Agreement does not override or grant rights beyond those terms.
Governing Law
This Agreement is governed by the laws of Georgia, without reference to conflict of laws principles. You consent to the jurisdiction of the courts of Georgia.
Entire Agreement
This Agreement constitutes the complete and exclusive understanding between the parties, superseding all prior agreements regarding this subject matter. Any unenforceable provision will not affect the remainder of the Agreement.
